These Terms and Conditions ("Terms") govern your use of the ecommerce platform service provided by Winji , accessible at http://www.winjicommerce.com/

By subscribing to our Service, you agree to be bound by these Terms. If you do not agree, please do not use our Service.

These Terms apply to users in the United Kingdom, European Union, United States, Egypt, and Gulf Cooperation Council (GCC) countries.

3. DESCRIPTION OF SERVICE
We provide a fully custom-built ecommerce platform that allows you to create and manage your own online store. Our Service includes:

A custom-built ecommerce website (not a template)

High-performance hosting (2GB, 4GB, or 8GB depending on your plan)

Real admin dashboard for managing your store

Stripe & PayPal integration for accepting payments from your customers

Free domain included

24/7 support

Details of your specific plan (hosting, product capacity, support level) are set out in your subscription plan as displayed on our pricing page.

4. ACCOUNT REGISTRATION

4.1 Eligibility
To create an account and use our Service, you must:

Be at least 18 years old

Have the legal capacity to enter into a binding contract

Provide accurate and complete information during registration

4.2 Account Responsibility
You are solely responsible for:

Maintaining the confidentiality of your account credentials

All activities that occur under your account

Notifying us immediately of any unauthorized use of your account

4.3 Accuracy of Information
You agree to provide accurate, current, and complete information and to update it as necessary.

5. SUBSCRIPTION AND PAYMENT

5.1 Subscription Plans

We offer subscription plans as set out on our pricing page. Each plan includes different levels of hosting, product capacity, and support.

5.2 Billing Cycle
Subscriptions are billed in advance on a monthly or annual basis, depending on the plan you select.

5.3 Payment Processing
All subscription payments are processed securely through Paddle.com Market Ltd, our Merchant of Record. Paddle handles payment processing, tax compliance (VAT, GST, sales tax), fraud prevention, and invoicing on our behalf.

5.4 Automatic Renewal
All subscriptions automatically renew at the end of each billing cycle unless canceled in accordance with Section 6 below.

By subscribing, you authorize us (through Paddle) to charge your chosen payment method for recurring subscription fees.

5.5 Price Changes
We reserve the right to change our subscription fees at any time. We will provide you with at least 30 days' notice before any price change takes effect.

5.6 Taxes
All fees are exclusive of applicable taxes (including VAT, GST, and sales tax). Paddle will calculate and remit applicable taxes based on your location.

6. CANCELLATION AND REFUND POLICY
6.1 How to Cancel
You may cancel your subscription at any time by:

Accessing your account.
Navigating to Settings.
Selecting Delete Account and confirming your decision.

Important: Cancellation will stop future billing but does not entitle you to a refund for the current billing period.

6.2 No Refunds Policy
All fees paid are non-refundable. We do not issue refunds for unused portions of a subscription period.

If you cancel:

You will continue to have access to the Service until the end of your current billing cycle

Your access will terminate at the end of the current billing period

No partial refunds will be provided for the remaining time in your billing cycle

6.3 Why No Refunds?
Our Service involves significant upfront work to build your custom store. Additionally, you receive full access to the platform immediately upon subscription. Therefore:

No refunds are available for any reason

Canceling simply stops future automatic renewals

You are only billed for the current period you have already used

6.4 Consumer Rights (UK and EU)
If you are a consumer in the UK or European Union, you have a 14-day cooling-off period under the Consumer Contracts Regulations 2013.

However, this right is waived if:

You explicitly consent to immediate access to the Service

You acknowledge that you lose your right to cancel once the Service begins

By subscribing and using our Service, you agree to waive the 14-day cooling-off period.

6.5 Renewal Payments
Subscription renewals are final and non-refundable. No refunds will be issued for renewal payments under any circumstances.

6.6 Trial Conversions
If you have used a free trial period, you are generally not eligible for refunds, as the trial period provided sufficient opportunity to evaluate the Service.

6.7 Non-Refundable Items
The following are explicitly non-refundable:

Any payments where the refund request was not made promptly

Subscription renewals

Partial month or partial billing period charges

Any add-on services or one-time fees

Accounts terminated for Terms of Service violations

7. YOUR OBLIGATIONS

7.1 Acceptable Use
You agree to use our Service only for lawful purposes. You shall not:

Use the Service for any illegal, harmful, or fraudulent activity

Upload, store, or distribute illegal, defamatory, or infringing content

Attempt to reverse engineer, decompile, or extract the source code of our platform

Resell or sublicense access to the Service without our permission

Use the Service to transmit malware, viruses, or other harmful code

Interfere with or disrupt the integrity of the Service

7.2 Responsibility for Content
You are solely responsible for:

The accuracy and legality of all content you upload to your store

Ensuring you have the necessary rights to sell the products listed in your store

Complying with all applicable laws regarding products, pricing, and consumer protection

7.3 Credentials
You must maintain the confidentiality of your login credentials and are responsible for all activity under your account.

8. INTELLECTUAL PROPERTY
8.1 Our IP
We retain all ownership rights in and to the Service, including software, code, designs, trademarks, and other intellectual property. You are granted a limited, non-exclusive, non-transferable license to use the Service for your business purposes.

8.2 Your IP
You retain all ownership rights in and to the data, content, and products you upload to your store. You grant us a limited license to process your data solely to provide the Service and support obligations.

8.3 Feedback
Any feedback, suggestions, or ideas you provide regarding the Service may be used by us without compensation or attribution.

9. DATA PROTECTION
9.1 Data Controller and Processor
We act as the data controller for your account information (name, email, billing details)

We act as the data processor for the store data you upload (product information, customer data, orders)

9.2 Data Processing Agreement
We process personal data in compliance with the UK GDPR, EU GDPR, Egyptian PDPL, and applicable US state laws. Our Privacy Policy explains how we collect, use, and protect your data.

9.3 Paddle as Data Processor
Paddle processes payment data as a data controller under the Merchant of Record model. For details on how Paddle handles your data, refer to Paddle's Privacy Policy: https://www.paddle.com/legal/privacy

10. SERVICE AVAILABILITY AND DISCLAIMERS

10.1 "As Is" and "As Available"
The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied.

10.2 No Warranties
To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:

Merchantability or fitness for a particular purpose

That the Service will be uninterrupted, error-free, or secure

That any defects will be corrected

That the Service will meet your specific requirements

10.3 Maintenance
We may perform scheduled maintenance that may result in temporary downtime. We will endeavor to provide notice of significant outages.

11. LIMITATION OF LIABILITY

11.1 Exclusion of Damages
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

Loss of profits, revenue, or business

Loss of data or content

Business interruption

Loss of goodwill or reputation

11.2 Cap on Liability
Our total liability to you under these Terms shall not exceed the total amount paid by you to us in the 12 months immediately preceding the claim.

11.3 Consumer Rights
Nothing in these Terms excludes or limits our liability for:

Death or personal injury caused by our negligence

Fraud or fraudulent misrepresentation

Any liability that cannot be excluded by law

12. SUSPENSION AND TERMINATION

12.1 Termination by You
You may terminate your account at any time by canceling your subscription in accordance with Section 6.

12.2 Termination by Us
We may suspend or terminate your access to the Service immediately if:

You breach these Terms

Your payment fails or is not received

You engage in illegal, fraudulent, or abusive behavior

We are required to do so by law

12.3 Effect of Termination
Upon termination:

Your access to the Service will cease

You will not receive a refund for any prepaid fees

Your data may be deleted after 30 days unless otherwise required by law

You should export your data before cancellation

13. DATA RETENTION AFTER TERMINATION
Upon termination or cancellation, we will retain your data for 30 days to allow you to export it. After this period, your data will be securely deleted.

Exception: Paddle may retain payment records for regulatory compliance purposes (tax, anti-money laundering) beyond this period.

14. GOVERNING LAW AND DISPUTE RESOLUTION
14.1 Governing Law
These Terms are governed by the laws of England and Wales.

14.2 Dispute Resolution
Any disputes arising from these Terms shall be resolved in the courts of England and Wales.

14.3 Consumer Protections
If you are a consumer, you may have additional rights under your local law that cannot be excluded.

15. CHANGES TO THESE TERMS
We reserve the right to update these Terms at any time. We will notify you of material changes by:

Updating the "Last Updated" date above

Sending an email notification

Posting a notice on our Service

Your continued use of the Service after changes constitutes acceptance of the updated Terms.
